BKLYN Labs provides AI-powered automation tools and workflows designed to help businesses manage customer inquiries, qualify leads, and improve operational efficiency.

Services may include:

• AI chat agents (web, SMS, email)
• Lead qualification and routing
• Appointment scheduling automation
• Workflow integrations (CRM, databases, third-party tools)

We reserve the right to modify or discontinue any part of the Services at any time.

2. Client Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain access to any required third-party systems (e.g., CRM, booking tools)
• Ensure you have the right to share any data provided to us
• Comply with all applicable laws (including SMS/email consent laws)

You are responsible for:

• Customer communications sent via your systems
• Obtaining proper consent for messaging (e.g., SMS opt-in)

3. Fees & Payment

Setup Fees

A one-time setup fee may be charged for initial implementation.

Subscription Fees

Ongoing Services are billed on a monthly basis unless otherwise agreed.

Payment Terms

• Payments are due upon invoice or automatic billing (e.g., Stripe)
• Late payments may result in suspension of Services
• Fees are non-refundable unless otherwise agreed in writing

4. Term & Termination

These Terms remain in effect until terminated.

We may suspend or terminate Services if:

• Payment is not received
• You violate these Terms
• Continued service presents risk or liability

You may cancel Services with written notice.

5. Data & Ownership

Client Data

You retain ownership of all data you provide or that is collected through your systems.

License to Use Data

You grant us a limited license to use your data solely to provide and improve the Services.

System & Workflow Ownership

All workflows, automations, prompts, and system designs created by BKLYN Labs remain our intellectual property unless otherwise agreed.

6. AI & Automation Disclaimer

Our Services use artificial intelligence and automation to assist with communication and decision-making.

You acknowledge that:

• AI-generated responses may not always be accurate or complete
• You are responsible for reviewing outputs where appropriate
• We are not liable for decisions made based on AI-generated content

7. Third-Party Tools

Our Services may integrate with third-party platforms (e.g., CRMs, payment processors, AI providers).

We are not responsible for:

• Downtime or failures of third-party services
• Changes in third-party pricing or policies

8. Limitation of Liability

To the maximum extent permitted by law, BKLYN Labs shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of revenue, profits, or business opportunities
• Errors or delays caused by third-party systems

Our total liability shall not exceed the amount paid by you in the previous 3 months.

9. Indemnification

You agree to indemnify and hold harmless BKLYN Labs from any claims arising from:

• Your use of the Services
• Your violation of applicable laws
• Your failure to obtain proper customer consent

10. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or customer information shared during the course of the relationship.

11. Modifications

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles.
